Terms of Service
Last updated: 13 September 2026 These terms govern your use of mhimedia.com (the "Site") and set out the general basis on which MHI Media, Ltd. ("MHI", "we", "us" or "our") provides its services. By using the Site or engaging us, you agree to these terms. If you do not agree, please do not use the Site. Client engagements are governed by a separate written agreement, statement of work, or proposal (each an "Engagement Agreement"). Where these terms and an Engagement Agreement conflict, the Engagement Agreement wins. 1. WHO WE ARE MHI Media, Ltd. is a performance creative agency producing advertising creative and related services for eCommerce brands. Contact: contact@mhimedia.com. 2. USE OF THE SITE You may use the Site for lawful purposes only. You must not attempt to gain unauthorised access to any part of the Site, introduce malicious code, scrape content at scale, or use the Site in a way that damages or impairs it. We may suspend or restrict access at any time without notice. 3. OUR SERVICES We provide creative strategy, concepting, production, and related services for paid social and digital advertising. The scope, deliverables, timelines, and fees for any project are set out in the applicable Engagement Agreement. We will perform our services with reasonable skill and care. Advertising performance depends on many factors outside our control, including platform algorithms, market conditions, your product, pricing, landing pages, and media buying decisions. We do not guarantee any specific result, return on ad spend, or revenue outcome unless expressly stated in writing in an Engagement Agreement. 4. CLIENT RESPONSIBILITIES As a client you agree to: provide timely access to the information, assets, accounts, and approvals we need; make sure any materials you supply do not infringe third-party rights; ensure your products, claims, and advertising comply with applicable law and platform policies; and review and approve deliverables within the agreed timeframes. You are responsible for the accuracy of any product claims, pricing, and offers included in creative at your direction. 5. FEES AND PAYMENT Fees are set out in the Engagement Agreement. Unless otherwise agreed, invoices are payable within 14 days of the invoice date. Late payments may accrue interest at 4% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998, and we may pause work until the account is settled. Fees exclude VAT and any platform ad spend, which you pay directly to the platforms. 6. INTELLECTUAL PROPERTY Upon full payment, you own the final approved deliverables we produce for you, unless the Engagement Agreement says otherwise. We keep ownership of our pre-existing materials, working files, processes, templates, and know-how, and grant you a licence to use them only as part of the deliverables. We may use third-party assets (fonts, stock footage, music, talent) under their own licences. You are responsible for staying within those licence terms after delivery. We may show completed work in our portfolio and case studies unless you ask us in writing not to. All content on the Site, including copy, design, logos, and case studies, belongs to MHI or its licensors and may not be reproduced without permission. 7. CONFIDENTIALITY Both parties will keep the other's non-public information confidential and use it only for the purposes of the engagement. This does not apply to information that is public, already known, or required to be disclosed by law. 8. REVISIONS AND APPROVAL The number of revision rounds included is set in the Engagement Agreement. Additional revisions, changes to the agreed scope, or new deliverables may be charged separately. Deliverables are deemed accepted if you do not raise concerns within 5 business days of delivery. 9. TERMINATION Either party may end an engagement in line with the notice period in the Engagement Agreement. On termination you pay for all work completed and costs committed up to the termination date. Sections on fees, intellectual property, confidentiality, and liability survive termination. 10. LIABILITY Nothing in these terms limits liability for death, personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Subject to that, we are not liable for any loss of profit, revenue, business, goodwill, or data, or for any indirect or consequential loss. Our total liability arising out of or in connection with any engagement is limited to the fees you paid us under that engagement in the 12 months before the claim arose. The Site is provided "as is". We do not guarantee it will be uninterrupted or error-free. 11. THIRD-PARTY PLATFORMS Our work runs on third-party advertising platforms. We are not responsible for platform outages, policy changes, account restrictions, or decisions made by those platforms. 12. GENERAL These terms are the entire agreement between you and us regarding the Site. If any part is found unenforceable, the rest still applies. Failure to enforce a right is not a waiver of it. You may not assign these terms without our written consent. Nothing here creates a partnership, joint venture, or employment relationship. 13. GOVERNING LAW These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute. 14. CHANGES We may update these terms at any time. The date at the top shows the latest version. Continued use of the Site after changes means you accept them. 15.
